Terms v1.0 · effective 2026-09-26 · changes
Part I — General provisions (all customers)
1. Who provides the Service; scope
The FlexTrust service is provided by JadeMind GmbH, Keutschacherstrasse 116, 9220 Velden am Wörthersee, Austria, FN 485120 m ("we", "us"). These terms govern every contract about the FlexTrust service. For business customers the general terms of JadeMind GmbH apply subsidiarily (Part II); for consumers these terms are the complete contract terms (Part III). Deviating customer terms do not apply unless we accept them in writing.
2. The Service — what we deliver
What FlexTrust is. FlexTrust is an assessment service for AI agents and the wallets they act from. We compile public blockchain evidence (agent registrations, on-chain payment history, anchors) and receipts signed by partners ("furnishers") into a statistical assessment under a published, versioned methodology, and deliver that assessment on request.
What one answer is. One answer is one of these, delivered for one subject (an agent identifier or wallet) at one stated time: (a) a trust score — a number from 0 to 1000 with a confidence value, the percentile, the contributing factors and the methodology version; (b) a counterparty pre-check — the score, the evidence tier, public-safe flags and a risk band (proceed / caution / unknown); (c) a trust receipt — a signed attestation of a signer's standing at a stated time, priced at a multiple of one answer. An answer is delivered immediately, in machine-readable form (JSON over HTTPS, or as an MCP tool result), within seconds of settlement or of the request under a key.
How you obtain answers. Over the HTTP API and the MCP server, paid either per answer over x402 (a payment in USDC submitted in response to our HTTP 402 challenge) or from prepaid answer units under an API key; a free community tier with published limits; the public explorer showing rounded daily scores for discovery only; and the console for owners of claimed agents. One prepaid unit is consumed per delivered answer; a trust receipt consumes the published multiple.
What you receive with every payment. Every x402 payment returns, together with the answer, a receipt stating the amount paid, the applicable VAT, the specific purpose of the payment (which answer, for which subject, under which terms version), the settlement transaction and a stable address at which the receipt remains retrievable. Prepaid pack purchases return the same receipt for the pack.
What an assessment is — and is not. Every assessment is a statistical statement about the evidence available to us at the stated time, produced by the published methodology; sources are third parties and public networks, and beyond the published checks we do not verify them. An assessment is decision support, not a decision. It is one input among others and never a sufficient basis on its own for entering into, refusing or pricing a transaction. It is not a prediction, a guarantee of performance, an endorsement, a verification of the content of any signed document, a KYC result or a compliance status. The decision to transact, the policy behind it and the use you make of an answer remain exclusively yours. Evidence you know to be wrong or contradictory is to be reported to us through the dispute process (section 6).
Availability. There is no contractual service level on self-serve access; we operate the Service with commercially reasonable care. Scores change as evidence changes: a later answer for the same subject may differ.
2a. Contract conclusion
With an account: the contract is concluded when you complete sign-up; paid packs and tiers
are concluded at checkout, where inputs can be corrected before purchase, confirmed by e-mail; the contract
text stays accessible in the console and here; contract language is English.
Without an account (x402 pay-per-call): the contract for one answer is concluded when your
client submits a payment in response to our HTTP 402 challenge. The challenge carries a machine-readable
reference to these terms and their version (a Link header with rel="terms-of-service"
and the X-FlexTrust-Terms header), states the total amount including VAT where applicable, and
names the answer being bought. Submitting the payment is your order and your request for immediate
performance; the answer and the receipt described in section 2 are delivered immediately on settlement, and
the receipt is your durable record of the contract. Each payment concludes a separate contract for one
answer.
2b. Functionality and interoperability (§ 4 FAGG)
The Service is an HTTPS API (REST, x402 pay-per-call), an MCP server for AI agents, and a web explorer and console. It works with any standards-compliant HTTP client, wallet library or agent framework; no special hardware or software beyond an internet connection and a modern browser for the web surfaces. Access is controlled by API keys, x402 payments and sign-in; there are no technical protection measures such as copy restrictions. The current endpoints, prices and limits are published at /docs and /pricing and evolve with the Service (section 11).
3. Accounts, API keys and agents acting for you
You are responsible for safeguarding your API keys and wallets and for all usage under them — including usage by automated clients and AI agents acting with your keys or paying from your wallets, which is metered identically. Whoever lets an agent pay with a wallet or call with a key accepts these terms for that principal. Keys can be revoked in the console at any time.
Business or consumer. You are a business customer (Part II) only if your account identifies you as a business and carries either a VAT identification number that we have validated or your legal (company) name; every other customer — including every anonymous x402 payer — is treated as a consumer (Part III). The reverse-charge rule (section 4) requires the validated VAT ID. A payer we cannot identify or reach is served on a single-transaction basis: one payment, one answer, one receipt, no continuing relationship.
4. Metering and prices
Published prices are net prices in USD, settled in USDC. VAT is charged on top where applicable and shown separately on the receipt: for consumers located in the EU, Austrian VAT at the standard rate (we determine your location from the network address of the calling client, as the law allows for electronically supplied services); for customers located outside the EU, no EU VAT; for business customers with a validated VAT ID, no Austrian VAT under the reverse-charge rule. The 402 challenge states the total amount you pay. Prepaid packs are multi-purpose vouchers: no VAT is charged on the purchase, VAT is accounted when units are redeemed.
Pay-per-call answers cost the published per-answer price (net; VAT on top as above). Prepaid packs grant answer units in advance at the published bonus ladder; unused units expire twelve months after purchase — the oldest units are consumed first, and the expiry date is shown in the console and on the receipt. FTR TrustCredit is a prepayment voucher for our services only: it is technically non-transferable, carries no right of redemption or exchange into fiat currency or any other asset at any rate and at any time, and is redeemable for nothing but FlexTrust services. The statutory withdrawal refund (Part III, section 1) is the only case in which money flows back to you. Volume tiers are offered only once they are fully functional and confirmed; nothing is sold before it works. We announce price changes with notice, effective from your next billing period.
5. Fair use; rate limits
You may not use the Service for unlawful activity, to attack or overload it or third parties, to circumvent metering or limits, to manipulate evidence about agents, or to resell raw access without our written consent (embedding our answers in your own product is welcome — talk to us). Rate limits apply as published; limit responses carry machine-readable retry information and a contact path.
6. Evidence, disputes, corrections
We index public evidence and furnisher-signed receipts, exclude reorganised or disputed items the moment they are seen, publish the methodology and its versions, and commit every score daily to a tamper-evident record. Owners of claimed agents may dispute any evidence item; an upheld dispute removes the item from scoring and is disclosed publicly. We never change a score by hand.
7. Data passing through the Service
Trust receipts store the digest of what an agent signed, never the message. Request metadata is retained for metering, reliability, abuse prevention and supply evidence — see the privacy policy.
8. Intellectual property
The Service, its software, documentation, methodology texts and branding remain ours or our licensors'. You receive the non-exclusive, non-transferable right to use answers you paid for in your own applications and decisions. The methodology is published so it can be replayed; representing replayed output as FlexTrust's is not permitted.
9. Termination; account deletion
You can delete your account in the console at any time: keys are revoked immediately, personal data is erased, billing and supply records are retained as bookkeeping law requires. Unused prepaid units of a consumer are refunded pro rata within the statutory withdrawal period; otherwise units are not refunded. We may terminate for cause — abuse, unlawful use, evidence manipulation, payment default.
10. Final provisions
Austrian law applies, excluding its conflict-of-law rules and the CISG. Contract language is English. Invalid provisions are replaced by the valid rule closest to their economic purpose.
11. Changes to these terms and to the Service
For customers with an account we announce changes to these terms with at least one month's notice by e-mail, stating the changes and your right to object; silence counts as consent only because, and as, the notice says so; if you object, either side may cancel to the period end. For pay-per-call customers without an account, the current terms are published at this stable address with the dated changelog below and are referenced, with their version, in every 402 challenge and on every receipt. Customers whose e-mail address we hold are additionally notified by e-mail of major changes. We may modify the Service — endpoints, methodology versions, limits — for valid operational reasons with clear notice; methodology changes are always new published versions.
12. End of the Service
If we discontinue the Service we announce it at least twelve months in advance and sell no further packs or FTR from the announcement on. Units bought before the announcement remain redeemable until they expire under section 4; the last units therefore lapse no later than twelve months after the announcement. A final notice follows three months after the last expiry; after it no units or FTR exist. Beyond the statutory right of withdrawal there is no refund on discontinuation.
Part II — Business customers (Unternehmer)
Applies if you use the Service as an entrepreneur under the Austrian UGB/KSchG. Where these terms are silent, the general terms of JadeMind GmbH (AGB, German) apply subsidiarily; on conflict these terms prevail.
Prices; payment. Prices are net of VAT; with a validated VAT ID the reverse-charge rule applies and the receipt says so. Pay-per-call and packs are paid in advance in USDC; the receipt of section 2 is the record of each sale; invoices, where issued on request, are due within seven days; statutory commercial default interest (§ 456 UGB) and the EUR 40 recovery fee (§ 458 UGB) apply.
Platform customers. A business customer that embeds answers in its own service (a platform customer) remains our only contracting party; its own customers do not become ours and acquire no rights against us. The platform customer answers to its customers for the use it makes of answers and passes the duty of section 2 — an answer is one input, never the sole basis of a decision — down to them. The embedded pre-checks of the FlexYield service are such a platform use.
Warranty. Report defects in writing within fourteen days of them becoming apparent; warranty claims within three months; remedy primarily improvement. § 924 ABGB presumption excluded.
Liability. Assessments rest on evidence from third parties and public networks that we do not verify beyond the published checks. As far as the law permits, we give no warranty for the accuracy, completeness or fitness of an assessment and accept no liability for loss of any kind arising from its use; you alone are responsible for the sensible use of an answer within the law. Where liability is not excluded, we are liable only for our own intent or crassly gross negligence (krass grobe Fahrlässigkeit), not for slight or ordinary gross negligence and not for the acts of our agents and suppliers; liability for lost profit, indirect and consequential damage and third-party claims is excluded; personal injury is governed by statute. An assessment is decision support on evidence; reliance on it, and any loss from a counterparty's conduct, remain your risk. You indemnify us against claims of third parties arising from your use or onward disclosure of answers. The characteristics of public blockchain networks — reorganisations, revoked or amended registrations, and any other retroactive change to the evidence and therefore to a score — are characteristics of the source networks, outside our control and no defect of the Service; a score that later differs from an earlier answer for the same subject is no defect either.
Assignment; jurisdiction. Assignment only with our written consent; we may assign to affiliates or in a business transfer. Exclusive jurisdiction: the court competent for Klagenfurt am Wörthersee, Austria.
Part III — Consumers (Verbraucher)
Applies if you use the Service as a consumer under the Austrian KSchG. Mandatory consumer law prevails over anything else in these terms; the general terms of JadeMind GmbH do not apply.
0. The free tier is a contract too. On the free tier you do not pay money; the account data and usage metadata you provide are the counter-performance. You have the statutory warranty rights of the VGG and the withdrawal and information rights of the FAGG. The contract is concluded at sign-up and can be ended by deleting your account.
1. Right of withdrawal (FAGG). For contracts concluded at a distance you have a fourteen-day right of withdrawal, described with the model form at /withdrawal. Where you request immediate performance — an answer delivered on payment — you consent at that moment to immediate performance and acknowledge that the right of withdrawal is lost once the answer is delivered (§ 18 FAGG); over x402, submitting the payment to the 402 challenge is that request, consent and acknowledgment. For a prepaid pack, withdrawal within the period refunds the unused units pro rata; units already consumed are charged at the pack's unit price.
2. Warranty. The VGG applies, including our update obligation. The total amount you pay, including VAT where applicable, is stated in the 402 challenge before you pay and on the receipt.
3. Liability; price changes. We are liable under the statutory rules; for slight negligence liability is limited to foreseeable, contract-typical damage — not for personal injury. Price changes take effect from the next billing period after notice; you can cancel to that date at any time. If the Service is discontinued, Part I section 12 applies; your right of withdrawal is unaffected.
4. Jurisdiction; disputes. If you are domiciled in Austria, claims against you may only be brought there; we are neither obliged nor willing to participate in consumer arbitration proceedings.
